This Agreement is required when a Company appoints a sole selling agent to sell its manufactured goods. Service agreement with agency are ordinary contracts between company/person and agency specialized in providing professional or other services in particular filed independently for a particular period of time and upon fixed consideration on certain terms and conditions as agreed between the parties, but there will be no employer and employee relations between the parties or any third person employed for and on behalf of the said agency providing the services to the company/person. It is an agreement whereby the employer or master agrees to engage the services of the employee and the latter agrees to serve the employer on certain terms & conditions.

Is a reasonable restriction in restraint of trade, profession etc. valid?

Ans.

Yes. Such restrictions are valid. For example, if an employee is restricted from carrying on any business of his own or anybody else, during the period of service, such restraint would be valid.

Are negative covenants necessary in a service agreement?

Ans.

Yes. A contract of service cannot be specifically enforced. Hence, a negative covenant is generally included so that the employee is restrained from doing anything against the interest of the employer.

a) Agreement where employer is engaged by a letter of appointment which only fixes his position or grade & his services are governed by the service rules & regulations of the employer;

b) Agreement for appointment of an expert or advisor in any subject where the employment is made for a specialised subject.

Number of Copies Needed:

Service Agreements with Agency are generally executed in Duplicate and duplicate is also required to be stamped accordingly.

Photographs & Signatures/ Thumb Impression & Initials:

The concerned parties must put their initials or marks by the concerned parties at the end of each and every page and also next to corrections/alterations made if any and sign and affix his/her/their mark and recent passport size photographs against their names at the last page. 

 

 

 

STEP 7

Witness Attestation (Both Parties):

Document must be attested by at least two witnesses.
